PRICES: All prices are subject to change without prior notice. Orders will be invoiced at the prices in effect at the time of placement. Customers must report any price discrepancies in writing within 30 days of receiving the invoice. Claims made after this period will be considered waived and time-barred.

ORDERS: All orders are subject to acceptance by TOTEBAGEXPRESS. We reserve the right to determine distribution channels and decline to supply certain customers or locations. Online sales of our products require prior written approval. Unauthorized online sales may result in account termination and legal action. Sales of closeouts, irregulars, or final-sale items are non-refundable. Backorders will be shipped F.O.B. shipping point, and no freight or related charges may be deducted by the customer.

PAYMENT TERMS: Payments must be made within the period specified on the invoice. Late payments will incur a service charge of 2% per month or the maximum rate permitted by law. Customers are responsible for all collection costs, including legal fees. Accounts may be terminated for non-compliance with these terms.

SALES RESTRICTIONS: Products must be sold only through approved distribution channels. Violations may result in account termination.

CANCELLATIONS: Order cancellations must be submitted in writing at least 45 days before the scheduled ship date and approved in writing. Cancellations may affect volume discounts and incur processing fees. Custom or special orders cannot be canceled. Unauthorized cancellations will not be accepted.

NO TRANSSHIPMENT: Reselling TOTEBAGEXPRESS merchandise to parties other than end consumers is strictly prohibited and may result in order cancellations, account termination, and/or legal action.

CLAIMS: Shortages, overages, or damages must be reported in writing within 3 days of receipt, including the invoice or order number and details of the affected items.

INSPECTION BEFORE PRINTING: All merchandise must be inspected before printing. Printed, decorated, or washed items cannot be returned under any circumstances.

RETURN POLICY: Returns require pre-approval and are subject to a restocking fee of at least 25%. Requests must be made within 30 days of receipt and include the invoice/order number and return authorization. Return shipping costs are the customer's responsibility unless the error is ours. Returned items must be in their original condition, and store credit will be issued upon approval. Decorated or altered items are not eligible for return.

DEFECTIVE MERCHANDISE: Defective items must be reported within 3 days of receipt. Refunds for defective products will be evaluated on a case-by-case basis.

PRODUCT WARRANTY: TOTEBAGEXPRESS disclaims all express or implied warranties, including merchantability and fitness for a particular purpose.

LIMITATION OF LIABILITY: TOTEBAGEXPRESS is not liable for lost profits, business interruptions, or indirect damages, even if aware of such possibilities.

FORCE MAJEURE: TOTEBAGEXPRESS is not responsible for delays or non-performance due to events beyond its control, such as natural disasters, strikes, or governmental actions. Comparable substitutions may be made for unavailable products.

DISPUTE RESOLUTION: All disputes shall be governed by the laws of Texas. Arbitration will be conducted in Houston under the rules of the American Arbitration Association. Claims must be filed individually within one year of the merchandise ship date.

GENERAL: These terms constitute the entire agreement and override any conflicting terms proposed by the customer. Modifications must be authorized in writing by TOTEBAGEXPRESS management.

PHOTOGRAPHY USE TERMS:

1. Ownership and License: TOTEBAGEXPRESS retains copyright over all photographs. Resellers are granted a limited, non-transferable license for marketing TOTEBAGEXPRESS products.

2. Permitted Use: Photos may be used on approved websites and marketing materials but cannot be sublicensed or distributed without consent.

3. Prohibited Use: Misrepresentation or use for non-approved purposes is prohibited.

4. Enforcement: Unauthorized use may result in immediate removal requests and/or legal action.

5. Termination: TOTEBAGEXPRESS may revoke photo use rights at any time.
